   What is Corporate Governance?
       “Corporate Governance is the system by which your Club or 
      Association is controlled. It is about how your Club or 
      Association can better manage the Club or Associations 
      resources to good effect for both members and stakeholders”

       Good Corporate Governance is about three key issues:
       •   Planning – developing strategic goals and objectives as part of a 
           ‘whole of sport’ approach, for the Club members and other 
           stakeholders. i.e. Government, sponsorship, National, State and 
           District Associations
       •   Organisational Performance – Monitoring the performance of the 
           Club to ensure the goals and objectives are achieved
       •   Leadership – Ensuring the Club is governed with the best interests 
           of members and stakeholders

        Who is an Executive Committee member?
        •   Your Club Constitution, the NSW Dept of Fair Trading Model Constitution and 
            the Associations Incorporations Act sets out the definition of a Board structure 
            and Committee members
        •   Usually any person elected or appointed to the Committee or Board
        •   Can include persons who were not elected e.g. Immediate past President
        •   Can also include people who are not on the Committee or Board but who still 
            exert influence over the Club
        •   These are the people who have legal responsibility for the Club

       Why is it relevant to your Club?
       •   The Club is an incorporated legal entity
       •   The Club is dealing in money
       •   The Club is dealing in members and other stakeholders rights and 
           expectations
       •   A Club usually deals with running events and other fixtures
       •   A Club usually publishes a newsletter or has a website
       •   A Club may enter ownership or leasing contracts for property
       •   As an Executive Committee member you are responsible for these 
           matters
