                                               BROKER REFERRAL AGREEMENT
        This Agreement dated ________________(the Effective Date) is between Promove Georgia, LLC, a Georgia limited liability company
        and    a   licensed   Real   Estate   Broker   in   the   state   of   Georgia   (PROMOVE)   and
        _______________________________________________,   a   ________________________   corporation/limited   liability
        company/partnership/professional corporation (circle one) and a licensed Real Estate Broker in the state of Georgia (BROKER).
        PROMOVE provides apartment locating services to renters and agents of BROKER may from time to time refer clients and non-clients
        to PROMOVE (REFERRALS).  This agreement documents the terms and conditions under which PROMOVE will make payments to
        BROKER for REFERRALS provided by licensed agents of BROKER that result in billable lease transactions for PROMOVE.   BROKER
        is under no obligation to promote the referral program to its agents.
        1. Registration of REFERRALS to PROMOVE.   PROMOVE will provide various methods for agents to register their REFERRALS with PROMOVE.
           Valid registration methods in effect will be published in the Referral Program Terms and Conditions.  Upon the execution date of this Agreement,
           valid methods include providing the following information to PROMOVE by phone or by email:
               a.  REFERRAL first and last name
               b.  REFERRAL valid email address
               c.  REFERRAL valid best contact phone number
               d.  Any details on REFERRAL’s area of town, budget, and move date that agent is aware of
               e.  Agent first and last name
               f.  Agent valid email address
               g.  Agent best contact phone number
               h.  Agent real estate license number (first REFERRAL only)
               i.  Broker name (first REFERRAL only)
               j.  Broker valid email address (first REFERRAL only)
        2. Qualification for a REFERRAL payment.   A REFERRAL PAYMENT is earned and considered a Qualified Referral upon meeting the following
           requirements:
               a.  the agent has registered the REFERRAL with PROMOVE and such registration is valid, and
               b.  the REFERRAL does not otherwise have an active search in process with PROMOVE on the date of registration, and 
               c.  the REFERRAL uses PROMOVE for their apartment search, and
               d.  the REFERRAL moves in to a unit that results in a billable transaction for PROMOVE, and
               e.  the REFERRAL remains in the unit for a minimum of 30 days.
               f.  the referring agent’s real estate license is active at the time payment is due.
               g.  the REFERRAL has been notified of the REFERRAL payment.  Note that PROMOVE provides this disclosure by email to each
                   REFERRAL following the delivery of initial search results.
               h.  A Broker agreement with PROMOVE is currently active.
        3. Amount and Timing of REFERRAL payments.   For Qualified Referrals executing leases of 6 months or longer, the Referral Payment is $100.
           For Qualified Referrals executing leases of less than 6 months, the Referral Payment is $50.  PROMOVE is not a party to closing of apartment
           lease transactions.  We invoice apartment communities and typically receive payment within 30-90 days of the invoice date.   Our invoice is subject
           to full or partial chargeback if the renter moves out of the apartment within 90 days of the lease commencement date.  Referral Payments are due
           to BROKER within 30 days of a Qualified Referral’s 30th day of occupancy (60 days after the lease commencement date).   Chargebacks occurring
           after 30 days of occupancy do not impact the Referral Payment.  Unless other arrangements are agreed upon between PROMOVE and BROKER,
           REFERRAL Payments will be remitted by check to:

           Payment Reference:              On the payment stub, PROMOVE will include:  Agent first and last name,
                                           REFERRAL first and last name
        4. Term, Termination, and Other.   This Agreement shall be effective for a period of one year, and automatically renew for successive one year 
           periods unless either party notifies the other in writing at least 30 days prior to the end of each term.  Either party may cancel this Agreement for 
           convenience by providing 30 days written notice to the other party (delivered via email to the broker at the email address below).   This Agreement 
           is governed by the laws of the State of Georgia.  PROMOVE agrees to indemnify, defend, and hold BROKER free and harmless from all claims, 
           demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies (including interest, penalties, attorneys' fees and 
           costs) that BROKER may incur as a result of any lawsuit resulting from REFERRALS.
